One Practice for Corporate Decisions

Most firms bill by discipline. Bangor works by mandate: one accountable partner for the legal, tax and financial dimensions of the same decision.

For companies and boards

Governance, transactions and regulatory work for operating companies

Corporate housekeeping, board procedures, acquisitions, disposals and restructurings for businesses with a presence in one or more of our three jurisdictions.

Holding structures, succession and exits that survive three tax authorities

Where to hold, where to operate and where to pay yourself, planned so that Dutch, Belgian and UK rules work together instead of against each other.

Six Disciplines, One Accountable Partner

Every mandate is led by the Managing Partner and delivered with the legal instruments, tax analysis and financial models required to act on it.

Buy-side and sell-side support from opportunity to completion: financial due diligence, quality-of-earnings bridges, normalised working capital targets, virtual data room oversight, share purchase agreement negotiation and day-one integration.

Discuss a transaction

Holding designs across the Netherlands, Belgium and the United Kingdom, OECD and BEPS transfer pricing documentation, intercompany financing, withholding tax optimisation and double taxation treaty use. We model the number before we recommend the structure.

Discuss a structure

Special purpose vehicles, joint ventures, shareholder agreements and commercial contracts, with executive directorship, statutory compliance and board proceedings handled in each jurisdiction. Drafted to be enforceable where the counterparty sits.

Discuss a corporate matter

Outsourced C-suite financial leadership: group accounting, statutory consolidations and accelerated closes under IFRS, US GAAP and UK, Dutch, Belgian and Luxembourg GAAP, with Big Four audit defence and SOX-grade internal controls.

Discuss financial leadership

Documentary letters of credit, standby letters of credit, bank guarantees and performance bonds under UCP 600, with Incoterms risk allocation and supply-chain hedging that lets physical trading operations run on bank paper rather than balance sheet.

Discuss a trade facility

Thirteen-week direct cash-flow modelling, multi-currency liquidity pooling, lender negotiations and working-capital sprints, then transition services agreements, target operating models and synergy capture once the deal has closed.

What clients say
Wisdom saw the tax consequence of our UK acquisition before our previous advisors had finished reading the term sheet. That is the difference between counsel and paperwork.

Confidentiality and standards

Professional Standards and Client Protections

Bangor operates under written terms of engagement, conflict checks and the confidentiality obligations that attach to regulated professionals in each jurisdiction.

Request our terms of engagement

Every mandate begins with a written engagement letter that defines scope, jurisdictions, fee basis and the partner responsible. Nothing is billed outside it without your written agreement.

A conflict check is run against counterparties, shareholders and related parties before any confidential information is received. Where a conflict exists, we say so before you have disclosed anything.

Client identification and beneficial ownership verification are completed at onboarding in line with anti-money-laundering obligations, including the Dutch Wwft. The process is designed to be completed once and reused across your entities.

Client files are processed under the GDPR and stored with EU-based providers. Access is limited to the people working on your matter, and documents are shared through encrypted channels rather than open email where the matter warrants it.

Client names, matters and outcomes are never used in marketing without written consent. The engagement profiles on this page are described by type only, for that reason.

Bangor receives no commissions or referral fees from banks, insurers, notaries or other advisers it recommends. Our only economic interest in a recommendation is that it works for you.
